Enziquim SL (“Company”), operates websites, web pages, portals, social media pages, applications,
and mobile applications (collectively, “Applications”).
By using, visiting, or browsing any Applications, or by confirming your consent with us, you accept
these Terms of Use and agree to the terms of our Privacy Policy. Acceptance of these Terms of Use
constitutes a legal agreement between you and the Company.
In these Terms of Use you will waive or give up certain legal rights and agree to certain limitations
of liability and exclusions of damages. If you do not agree with these Terms of Use, do not use or
interact with the Applications.<\/p>\n

You must be 18 years of age or older to access our Applications, provide or permit use of User Content
or use our services.
By accessing our Applications, you agree not to upload, post, e-mail, or otherwise send or transmit
any material that contains software viruses or any other material designed to interfere, interrupt,
destroy, or limit the functionality of any software or equipment. You also agree not to:<\/p>\n

      2. conduct yourself in an inappropriate, offensive, indecent, or vulgar manner while using our
      services or Applications,
      3. use any robot, scraper, spider, or other automated means to access or gather content from

      4. frame any web page (or portion thereof) of the Applications,
      5. mirror the Applications or any portion thereof,
      6. publicly display any content from the Applications on or in connection with any other
      Applications or application, or
      7. use the Applications for any unlawful purpose.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n

      Company reserves the right, at its sole discretion, to terminate your access to the Applications
      without explanation or prior notice.<\/p>\n

      3.- Links<\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/strong>
      Third party Applications may lead you to our Applications or, alternatively, some of our hyperlinks
      may lead to third-party Applications. These Applications are not controlled by, or affiliated with,
      Company. Company is not responsible for the content or privacy policies of these third-party
      Applications.

      4.-Intellectual Property<\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/strong><\/p>\n

      The elements of the Applications, including, but not limited to, text, images, logos, sound, video, and software (“Content”) are protected by international copyright and other intellectual property laws and are the property of Company, its licensors, contributors, or third parties.<\/p>\n

      Subject to these Terms of Use, Company grants to you a personal, revocable, non-exclusive, nontransferable license to use the Applications to view the Content.<\/p>\n

      Content may not be copied, reproduced, modified, decompiled, disassembled, reverse engineered, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording or otherwise, without the prior written consent of Company.<\/p>\n

      Upon termination of the license granted to you in these Terms of Use, you must immediately destroy any downloaded and printed materials obtained from any Applications.<\/p>\n

      The trademarks, service marks, and logos used and displayed on the Applications (“Trademarks”) may not be used, including without limitation in any advertising or promotional materials, without the prior written consent of Trademark owner, and nothing on the Applications shall be construed as granting any license or right to use any.<\/p>\n

      5.- Notification of Copyright Infringement<\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/strong><\/span><\/span><\/span><\/span><\/span><\/span><\/p>\n

      If you believe that any of our Content has been used or copied in a way that constitutes copyright infringement, please provide Company’s Copyright Agent (dpo@oktapod.net) an email containing the following information:<\/p>\n

        1. full legal name, ID and contact data
          2. authorization of the owner of the copyrighted work(s) that is\/are alleged to have been infringed;
          3. identification of the claimed copyrighted work(s)
          4. identification of the material you claim is infringing and its location<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n

          6.- User-Generated Content<\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/strong><\/p>\n

          Our Applications, including without limitation social media pages, may permit or ask users to post
          information and content and contribute to and participate in portions of the Applications (\u201cUser
          Content\u201d). Company hereby disclaims any liability with respect to User Content. You are responsible
          for your User Content.<\/p>\n

          By providing User Content,<\/strong><\/p>\n

          \u2713 you waive any rights or privacy expectations that you may have with respect to the User
          Content.
          \u2713 you represent and warrant that the User Content complies with all applicable laws
          \u2713 you grant to Company a non-exclusive, royalty-free, irrevocable, perpetual, sublicensable,
          transferable, worldwide license to use your User Content
          \u2713 you acknowledge and agree that Company has no obligation to post, display, or otherwise
          make publicly available your User Content<\/p>\n

          \u2713 edit, refuse to post, block access to, or remove all or part of any User Content in its discretion
          for any reason or no reason
          \u2713 disclose User Content to any regulatory or criminal authority or third party<\/p>\n

          7.- Disclaimer of warranty, limitation of liability<\/strong><\/p>\n

          The Applications and all Content, whatever form, are provided without warranties of any kind express
          or implied. The use of the Applications is at your own risk. Company assumes no liability or
          responsibility.
          Except as otherwise required by law, and to the maximum extent permitted by law, under no
          circumstances shall Company, its employees or anyone else be liable, jointly or severally, for any
          damages of any kind.
          Some jurisdictions may not allow the exclusion of implied warranties or the limitation of damages.
          Check your local regulations for any restrictions or limitations. You acknowledge and agree that the
          limitations set forth above are fundamental elements of this agreement, and the Applications would
          not be provided to you absent such limitations.<\/p>\n

          8.- Indemnity<\/strong><\/p>\n

          You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, and
          agents, from and against any claims, actions, or demands, including, but not limited to, reasonable
          legal and accounting fees, alleging or resulting from your use of the Applications or your breach of
          these Terms of Use. Company shall provide notice to you promptly of any such claim, suit, or
          proceeding and may, at Company’s discretion, assist you, at your expense, in defending any such
          claim, suit, or proceeding.<\/p>\n

          <\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/span><\/p>\n

          9.- Choice of Law, Dispute Resolution.<\/strong><\/p>\n

          Any issue or dispute arising out of or in connection with your use of our Applications, intellectual property, the Terms of Use, the Privacy Policy, or any matter concerning Company shall be governed by the laws of Spain. Company makes no representation that materials contained in the Applications are appropriate or available for use in other locations and access to them from territories where their contents are illegal is prohibited. Access from locations outside Spain is being done at your own initiative. You are responsible for compliance with applicable local laws.<\/p>\n

          \u2713 You and Company mutually agree to resolve all disputes in arbitration. Arbitration will be administered by an Spanish arbitration body and all arbitration hearing will be conducted in sapin under Spanish rules. Both you and Company are each giving up the right to have disputes resolved in court before a judge and\/or jury (except as stated otherwise in this section), to the fullest extent of the law.<\/p>\n

          \u2713 You and Company, knowingly and voluntarily waive, to the maximum extent permitted by law, the right to jury or bench trial, the right to participate in any class, collective, consolidated or representative proceeding, whether in arbitration or otherwise, and any rights of appeal following the rendering of the arbitrator\u2019s award.<\/p>\n

          \u2713 In the event that a Dispute arises between us, Company is committed to working with you to reach a reasonable resolution. Each party will notify the other in writing of any dispute and will try to resolve it negotiating in good faith. If and only if we fail to reach an amicable settlement of the dispute within 60 days after receipt of the written notice of dispute, then either party may commence an arbitration proceeding with a written demand for arbitration.<\/p>\n

          \u2713 Any arbitration will be confidential. Except as may be required by law, neither a party nor the arbitrator may disclose the existence, content, or results of any arbitration without the prior written consent of both parties, unless to protect or pursue a legal right.<\/p>\n

          \u2713 The filing party must pay the filing and other fees and costs of arbitration. Each party will pay its own deposition, witness, expert, and attorneys’ fees and other expenses to the same extent as if the matter were being heard in court.<\/p>\n

          10.- Assignment<\/strong><\/p>\n

          You may not assign any rights or delegate any obligations under these Terms of Use without Company’s prior written consent.<\/p>\n

          11.- No Waiver<\/strong><\/p>\n

          No waiver by Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition, and any failure by Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.<\/p>\n

          12.- Severability<\/strong><\/p>\n

          If any provision or portion of a provision in these Terms of Use is declared invalid or unenforceable for any reason other than over-breadth, only the offending portion of the provision shall be severed, and the remainder of the Terms of Use will be deemed to be binding and enforceable and will be modified so as to maintain the essential benefits of the bargain and original intent between the parties hereto to the maximum extent possible, consistent with law and public policy.<\/p>\n
